Terms of Service

1. Acceptance of Terms

These Terms of Service govern access to and use of VaultAI, an enterprise software platform for M&A diligence, RFP automation, data-room analysis, AI-assisted extraction, and related workflow automation. By accessing VaultAI or using the services on behalf of an organization, you represent that you are authorized to bind that organization to these terms.

2. Authorized SaaS Use

VaultAI is provided for internal business use by approved customers and their authorized users. You may not reverse engineer, resell, sublicense, scrape, interfere with, or use the service to process unlawful, infringing, or unauthorized data. You are responsible for user access, permissions, uploaded content, and the legality of all materials submitted to the platform.

3. Customer Data and Confidential Materials

You retain ownership of documents, data-room materials, diligence records, prompts, outputs, and other business information submitted to VaultAI. VaultAI processes customer data to provide the contracted services, maintain platform security, support authorized workflows, and comply with legal obligations. You must not upload data unless you have the necessary rights and permissions to do so.

4. AI Outputs and Data Accuracy

VaultAI may generate summaries, extraction results, diligence signals, risk classifications, negotiation suggestions, proposal content, and related analytical outputs. AI-generated output may be incomplete, inaccurate, or unsuitable for a particular transaction or legal purpose. You are responsible for independent review, validation, and approval of all outputs before relying on them for business, financial, legal, procurement, or transaction decisions.

5. No Legal, Financial, or Investment Advice

VaultAI is a software tool and does not provide legal, accounting, tax, financial, investment, valuation, or professional advisory services. Any diligence, RFP, valuation, synergy, compliance, or negotiation output is for workflow support only and must be reviewed by qualified professionals before use.

6. Subscription Access and Enterprise Agreements

Access may be provided through subscriptions, enterprise agreements, private offers, purchase orders, or other written commercial arrangements. Features, usage limits, support levels, onboarding, and service commitments are governed by the applicable order form or written agreement between the parties.

7. Security Responsibilities

VaultAI uses administrative, technical, and organizational safeguards designed to protect enterprise information. You remain responsible for configuring access controls, managing authorized users, protecting credentials, and promptly notifying VaultAI of suspected unauthorized access.

8. Service Availability and Changes

VaultAI may update, modify, suspend, or discontinue features to improve performance, security, compliance, or reliability. The service may be unavailable due to maintenance, third-party provider outages, force majeure events, or circumstances outside reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, VaultAI will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost data, transaction, procurement, or investment losses. VaultAI's aggregate liability for claims related to the service is limited to amounts paid for the service during the twelve months before the event giving rise to the claim, unless a signed agreement states otherwise.

10. Termination

VaultAI may suspend or terminate access if you violate these terms, create security risk, fail to pay applicable fees, or use the platform in a manner that could harm VaultAI, other customers, or third-party systems. Upon termination, access to the service may be disabled subject to applicable retention, export, and deletion obligations.
